POSITION DUTIES: |
Negotiate and closing equity and debt financings, including convertible note, Safe, Series Seed, and NVCA-style financings; Manage transaction due diligence processes, including preparation of disclosure schedules and transaction closings and checklists; Make federal and state securities laws and filings; Counsel emerging companies on entity formation and earlystage financing structures; Serve as outside general counsel for emerging companies, including advising on compliance and corporate governance matters; Analyze, negotiate, and draft common commercial contracts, including preparation of terms of use, privacy policies, subscription agreements; Advise clients on corporate governance frameworks for companies incorporated in various jurisdictions, including the UK, Poland, Latvia, Spain, offshore entities including Cyprus and British Virgin Islands, and Delaware corporations, ensuring seamless alignment of governance mechanisms during Delaware flips; Manage the structuring and rollover of equity incentive mechanisms from international jurisdictions into Delaware corporations; Oversee the transition of debt instruments, including convertibles, from international entities into Delaware corporations during reorganization processes; Draft, review and revise fund documents, including partnership agreements, subscription agreements, nondisclosure agreements, transfer agreements, and side letters; Preparation and filing of relevant regulatory and compliance forms; Collaborate with clients, investors, and counterparties in order to provide practical and innovative legal solutions; Develop practice-area expertise and contribute to business development and professional development efforts of the Firm. |
REQUIREMENTS: |
Juris Doctor (J.D.) or Master of Laws (LL.M.) degree; At least 1 year of experience in the following: • Structuring mergers and acquisitions transactions and familiarity with risk allocation mechanisms; • Structuring equity and debt financing transactions; • Advising companies on corporate restructurings, including corporate redomiciliation, while maintaining corporate governance mechanisms, securities laws compliance, and preserving vesting and equity incentive programs. Licensed to practice law in the State of California or State of New York. |
